1. Acceptance of Terms

Welcome to AbiBin Academy LLP ("AbiBin," "we," "us," or "our"). By accessing or using our website, services, or any associated platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

AbiBin Academy provides a range of professional services, including but not limited to:

• IT and Software Solutions (custom development, cloud services, digital transformation)

The specific scope, deliverables, and terms of any engagement will be defined in separate service agreements or statements of work.

3. User Accounts

Certain Services may require you to create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, materials, and intellectual property associated with our Services, including but not limited to text, graphics, logos, software, and methodologies, are owned by AbiBin or its licensors and are protected by applicable intellectual property laws.

4.2 Client Deliverables

Unless otherwise specified in a service agreement, upon full payment, clients receive a license to use deliverables created specifically for them. AbiBin retains ownership of underlying methodologies, frameworks, and reusable components.

4.3 Restrictions

You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any content from our Services without express written permission.

5. Payment Terms

• Payment terms will be specified in individual service agreements or invoices
• All fees are exclusive of applicable taxes unless otherwise stated
• Late payments may incur interest charges as permitted by law
• We reserve the right to suspend Services for overdue accounts
• Refund policies, if applicable, will be outlined in specific service agreements

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of our engagement. This includes but is not limited to:

• Business strategies and plans
• Technical specifications and source code
• Financial information
• Customer and employee data

Confidentiality obligations survive the termination of any engagement for a period of three (3) years.

7. User Conduct

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our Services
• Engage in fraudulent or deceptive practices
• Harass, threaten, or harm other users or our employees

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

We do not guarantee specific results from the use of our Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABIBIN SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from reliance on our Services

Our total liability for any claim arising from these Terms or our Services shall not exceed the amounts paid by you to AbiBin in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AbiBin, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the use of Services in accordance with the terms specified in individual service agreements. We may also suspend or terminate your access to Services immediately if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the Services

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall remain in effect.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts in Kochi, Kerala.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiations and, if necessary, mediation.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, or infrastructure failures.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and AbiBin regarding the use of our Services and supersede any prior agreements or understandings.
